BILLING TERMS

Effective Date: July 2, 2026

These Billing Terms (the “Billing Terms”) apply to all purchases and paid access to the Swagtoons website, mobile application, and related services (the “Service”), operated by GENART SYSTEMS LTD (“SWAGTOONS,” “we,” “us,” or “our”). These Billing Terms are part of the SWAGTOONS Terms of Service. Capitalized terms not defined here have the meanings given in the Terms of Service.

1.   Paid Features and Plan Details

Certain features of the Service require payment (“Paid Features”), which may be offered as:

·         auto-renewing subscriptions (e.g., weekly, monthly, quarterly, or annual);

·         one-time purchases (such as access to a specific episode, season, content pack, virtual currency, or other digital item), where offered.

The plan name, price, billing frequency, trial or introductory terms (if any), included features, applicable taxes (where shown), and any limits are displayed at checkout or within the Service and form part of your purchase agreement.

2.   Eligibility to Purchase

To purchase Paid Features, you must be authorized to use the selected payment method and meet the eligibility requirements set forth in the Terms of Service.

If you are 16 or older but under the age of majority in your jurisdiction, purchases and transactions made through your account are the responsibility of your parent or legal guardian to the maximum extent permitted by law (as described in the Terms of Service).

3.   Trials, Introductory Offers, and Promotions

SWAGTOONS may, at its sole discretion, from time to time offer free trials, discounted introductory periods, seasonal promotions, or other promotional pricing (each, an “Introductory Offer”). Introductory Offers are not guaranteed, may be limited by eligibility, geography, payment method, or duration, and may be modified or withdrawn at any time. The terms of an Introductory Offer (duration, price, conversion date, and post-Introductory Offer recurring price) will be presented at checkout.

Unless stated otherwise at checkout:

·         you will be charged the disclosed price at the time you start the Introductory Offer;

·         at the end of the Introductory Offer, your subscription will automatically convert into a paid recurring subscription, your payment method will be charged the then-applicable recurring price disclosed at signup, and your subscription will continue to renew at the same frequency until you cancel. You must cancel before the Introductory Offer ends to avoid being charged the recurring price.

Introductory Offers are generally limited to one per user, household, or payment method, and may not be combined with other Introductory Offers unless expressly stated.

4.   Automatic Renewal and Authorization to Charge

If you purchase a subscription, it will automatically renew at the end of each billing period at the then-current recurring rate disclosed at checkout, until you cancel.

By starting a subscription, you authorize SWAGTOONS and our payment processors to charge your payment method:

·         at the start of each billing period;

·         at the recurring rate (plus applicable taxes and fees, if any) disclosed at checkout;

·         on the renewal date that corresponds to your initial purchase date or such other date as we may reasonably set,

until you cancel.

5.   Cancellation

You may cancel at any time using the cancellation method provided in your account settings or by contacting support@swagtoons.net. If you purchased your subscription through an application store (e.g., Apple App Store or Google Play), you must cancel through that store's subscription management settings – we cannot cancel store-managed subscriptions on your behalf.

Unless otherwise stated in an applicable Introductory Offer or at checkout:

·         cancellation stops future renewals;

·         you will retain access through the end of the then-current paid billing period;

·         we do not provide prorated refunds for partial billing periods, except where required by applicable law or expressly stated in the Money-Back Policy.

Important: Deleting your account, clearing browser data, uninstalling the application, removing your payment method, or ceasing to use the Service does not cancel your subscription.

6.   Refunds, Money-Back Policy, and Chargebacks

Refunds, reversals, credits, extensions of access, and other billing corrections (if any) are governed by the Money-Back Policy.

If you believe you were charged incorrectly, contact support@swagtoons.net and provide relevant details:

·         account email;

·         date of the charge;

·         amount;

·         last 4 digits of the card, if applicable;

·         any transaction or order reference.

To the extent permitted by law, you agree to give us a reasonable opportunity to investigate and resolve a billing issue before initiating a chargeback or payment dispute with your card issuer or payment provider. Excessive chargebacks, fraudulent disputes, or other abuse of payment-dispute mechanisms may result in suspension or termination of access, recovery of disputed amounts, and forfeiture of any pending refund eligibility.

7.   Prices, Currency, Taxes, and Geographic Variation

Prices are shown at checkout in the displayed currency and may exclude applicable taxes unless stated otherwise.

Prices, currencies, available plans, payment methods, and Introductory Offers may differ by country or region for commercial, tax, or licensing reasons, and may change from time to time. If you purchase in a currency different from the currency of your payment method, your bank or payment provider may apply foreign-exchange conversion fees, for which SWAGTOONS is not responsible.

You are responsible for any taxes, duties, or government assessments associated with your purchase, except where we are required to collect such amounts. If we collect taxes, they will be shown at checkout where practicable.

8.   Payment Processing and Payment Methods

Payments are processed by third-party payment processors. We do not store full payment card numbers and do not control payment processor performance or outages.

You agree to keep your payment information current and accurate. If your payment method cannot be charged (for example, due to insufficient funds, expired card, processor decline, or fraud-prevention block), we may:

·         retry the charge one or more times over a reasonable period;

·         suspend, downgrade, or limit access to Paid Features until payment is successfully processed;

·         cancel your subscription if payment remains unsuccessful after retries; and/or

·         charge any successor payment method you have authorized on file.

If your payment provider supports automatic card updates (for example, through a card-network updater service), your card details may be updated automatically to help prevent failed renewals. By providing a payment method, you authorize us and our payment processors to use such updater services where available.

9.   In-App Purchases via Application Stores

If you purchase a subscription or any other Paid Feature through an application store (such as Apple App Store or Google Play), the relevant store's payment, billing, refund, and cancellation rules apply in addition to (and, where in conflict with, instead of) these Billing Terms. We do not process such payments and cannot directly issue refunds or cancel subscriptions billed by an application store – you must use the store's own tools and policies.

10.        Price Changes and Plan Changes

We may change subscription prices, billing frequencies, or included features from time to time.

Where notice is required by applicable law, we will provide notice in the manner and timeframe required. Otherwise, price or plan changes will take effect at the next renewal following the change (or as otherwise displayed at checkout for new purchases). If you do not agree to a change, you may cancel before the renewal date. Your continued use of the Service or non-cancellation of the subscription after the change takes effect constitutes acceptance of the new price or plan terms.

11.        Receipts, Renewal Reminders, and Billing Communications

After a purchase, we may provide confirmation or receipts electronically (for example, via email or within the Service). You agree that electronic records satisfy any applicable legal requirements for written notices and records.

We will provide any additional billing acknowledgments, renewal reminders, pre-renewal notices, or other disclosures to the extent required by applicable law in your jurisdiction.

12.        Suspected Fraud, Account Sharing, and Abuse

We may decline, reverse, or refuse to process any transaction, and suspend or terminate access to the Service, where we reasonably suspect fraud, unauthorized use of a payment method, account sharing beyond what is permitted, abuse of trials or Introductory Offers, or violation of the Terms of Service or these Billing Terms.

13.        Governing Law

These Billing Terms are governed by the laws of the Republic of Cyprus, without regard to conflict of laws principles, and are subject to the governing law and venue provisions of the Terms of Service.
